Our Mission...

The typical experience of clients who have moved to us from other firms seems to be that all they got was a set of accounts (which they only partially understood or read), a bill... and little else.

Our mission, collectively and individually, is to deliver a full suite of business services to our clients in the same fashion and with the same quality we would demand if we were the end client. This ethos is passed down from partners, to managers, to trainees as we recruit and train new staff.

We are constantly looking for (and finding) situations where we are able to add real value in a way that more traditional firms don’t. Our people love what they do and how, together, they are able make a difference to their clients.

Audit

There are many reasons why you might need an audit or assurance work. You may require one to comply with legislation, reassure investors, or review your processes and controls. Whatever the reason, you’ll want to feel you can rely on the report’s independence and accuracy.

Our audit clients are typically drawn from those who require a statutory audit on grounds of their size and those whose shareholders require an audit to protect their interests. However, we also deal with audits for UK subsidiaries of a number of large international groups. We have extensive experience in a variety of trade sectors, auditing both UK groups and UK subsidiaries of larger international groups – and we understand the specific challenges of dealing with each.

Assurance Work

Assurance work focuses on key parts of your business or specific areas of risk, based on parameters that you define, rather than auditing the whole business as part of the prescribed statutory process. An assurance report is all about improving information – giving an accurate picture of virtually any aspect of your organisation, and to support decision-making. It must be an accurate, independent assessment of the facts, minimising the risks that can arise from incorrect information.

Accounts

We provide accounting services to sole traders, partnerships and limited companies for single companies and larger groups in the SME sector.

Year-end statutory financial reporting can be challenging and time-consuming in this ever-changing and complex financial environment. Our team can support you to ensure that your year-end financial statements are accurate, compliant, on time and crucially that you can understand them. We will take your management accounts and obtain additional information and documentation from you in order to be able to prepare complete financial statements in accordance with UK GAAP.

We can prepare your financial statements on your behalf and/or ready for audit if required. We work with a wide range of organisations in the SME sector to advise on and assist with reporting under UK GAAP/ FRS 102 and IFRS..

We are also experienced in preparing financial reports for unincorporated entities, partnerships and pension funds.

Management Accounts

We generally encourage and support our clients to do their own bookkeeping and prepare their own management accounts…with modern software it’s much easier than it used to be. So, to that end, we provide guidance and support to clients in terms of setting software up correctly and having reliable internal systems and controls to make sure they can produce accurate financial information.

That said, we do have a number of clients who don’t want to deal with their management accounts internally and instead want us to deal with this aspect of their affairs. We will work with them to produce reliable professional management accounts, in a format they want, so that they have access to up-to-date financial information to assist them in running their business. We often assist in preparing these for lenders, and current and potential investors etc.

Taxation

We provide business tax compliance and advisory services for the owners of limited companies, groups, partnerships, limited partnerships, LLPs and sole traders across many industries.

Our work will help you to legitimately minimise your overall personal and business tax liabilities and exposure by planning them together, rather than in isolation. This holistic approach also significantly reduces the risk of future tax problems with HMRC.

Your tax planning and preparation will be handled effectively by our team, who will integrate the tax work alongside the accounts and audit work that underpins the figures used as the basis for any tax calculations.

We deal with all aspects of our clients’ tax affairs from Income Tax and Corporation Tax through to, Capital Gains Tax and Inheritance Tax.

Company Secretarial and Statutory Filing

We undertake all routine company secretarial work including company formations, minutes, resolutions, updating of statutory registers and filings at Companies House.

Employment Taxes, Payroll and HR Support

As modern payroll software is so useable, we aim to support clients in operating their own payroll in-house. However, for those clients that require it, we can provide payroll and HR support.

VAT

We assist clients with all aspects of VAT, from day-to-day VAT operations and HMRC filings, through to sector specific VAT advice including; property, construction, overseas transactions, import/ export and horse racing/ bloodstock.

Business Advisory and Consultancy

We have extensive experience in dealing with a full spectrum of business planning assignments and many of the processes that need to be taken into account in any strategic planning. As an external advisor, we can offer an independent and objective assessment on situations and provide optimal solutions. We will be well placed to deliver these having invested the time to fully understand your business and recognise what drives you.

Tax Planning and Advice

You know there are certain times of the year when you need to think about tax. But if you really want to keep your tax bill to a minimum, consistent and ongoing tax planning can make a big difference. With our help, you can make informed choices about factors that could affect your tax bill. We can advise you on strategies that will make the most of the tax reliefs, allowances, and credits available to you.

Corporate Finance and Deal Advisory

Over the years we have provided strategic advice, project management, structuring, tax and valuation support to numerous clients dealing with the intricacies of buying and selling companies. This role involves working with the legal team for both the buyer and seller, advising on the commercial and taxation aspects of the SPA and support throughout the due diligence process.

Business Share Valuations

We are able to undertake valuations for all purposes and possess considerable experience in working with HM Revenue & Customs on share valuation matters. We are experienced in negotiating for buyers and sellers in commercial deals, as well as providing valuation reports for existing clients.

Succession Planning

We have assisted many clients with planning for their eventual withdrawal or retirement from their business. This often requires the introduction of family members or the management team in to more senior positions in the business and/ or an ownership stake in the business, with a view to longer term succession planning.

We have helped a number of clients through retirement, a third party sale process and MBO’s and are fully versed in the commercial, legal and tax challenges of each.

Often, this might be tied in with an initial grant of shares to employees and/ or share options, perhaps using the HMRC approved Enterprise Management Incentive (EMI) Scheme.

Group Structuring

There are many benefits to restructuring a company and we are often asked by our clients to create a larger group from their initial, single company. This will typically involve the addition of a holding company above the existing company, perhaps with further subsidiaries. This route can also be used to 'spin out' a property or business division from an existing company or group.

We are able to advise on the potential benefits of creating a group structure (commercial, risk management, tax planning etc) as well as the potential downsides. Often clients just want to manage the risk of a growing business or expansion in to new trading sectors, but group structures can also be used to aid in succession planning or where there are internal disputes.
